The invention provides an ethylene and conjugated diene copolymer. The content of ethylene in the copolymer is more than 20 mol%, the glass transition temperature of the copolymer between -110 DEG C and -90 DEG C, and the sequence length of continuous methylene groups in the copolymer is 12 to 162 methylene units. The invention also provides a preparation method of the copolymer. The method is characterized in that an ethylene monomer and a conjugated diene monomer are copolymerized in the presence of a catalytic system composed of a heterocyclic fused cyclopentadienyl rare earth metal complex, an organoboron compound and aluminum alkyl, wherein the heterocyclic fused cyclopentadienyl rare earth metal complex is represented by formula (I) shown in the description.
