PROBLEM TO BE SOLVED: To provide an attenuation valve which can effectively improve a riding comfort of a two-wheel vehicle, and a shock absorber having the attenuation valve.SOLUTION: This attenuation valve V comprises: a valve disc 2 having an elongation-side passage 3 and a compression-side passage 4 for making an elongation-side chamber R1 and a compression-side chamber R2 communicate with each other; an elongation-side valve body 5 which is landed on and separated from the valve disc 2, and opens and closes the elongation-side passage 3; a compression-side valve body 6 which is landed on and separated from the valve disc 2, and opens and closes the compression-side passage 4; an elongation-side control valve CVe for controlling a valve-opening pressure of the elongation-side valve body 5; a compression-side control valve CVc for controlling a valve-opening pressure of the compression-side valve body 6; and a control part S for driving the elongation-side control valve CVe and the compression-side control valve CVc.SELECTED DRAWING: Figure 2
