PROBLEM TO BE SOLVED: To provide an attenuation valve which can effectively improve a riding comfort of a two-wheel vehicle, and a shock absorber having the attenuation valve.SOLUTION: This attenuation valve V comprises: a valve disc 2 having an elongation-sided passage 3 and a compression-side passage 4 for making an elongation-side chamber R1 and a compression-side chamber R2 in a shock absorber D communicate with each other; an elongation-side valve body 5 for imparting resistance to a flow of fluid progressing toward the compression-side chamber R2 from the elongation-side chamber R1; a compression-side valve body 9 for imparting resistance to a flow of fluid progressing toward the elongation-side chamber R1 from the compression-side chamber R2; an elongation-side spring 32 for exerting an energization force for energizing the elongation-side valve body 5; a compression-side spring 35 for exerting an energization force for energizing the compression-side valve body 9; and an attenuation force adjustment part 11 which can change the energization forces of the elongation-side spring 32 and the compression-side spring 35.SELECTED DRAWING: Figure 2
