The present invention relates to a catalyst composition which comprises a rare earth metal compound, an alkylating agent, a halogen compound, and a functionalizing agent represented by chemical formula 1 of (X_1)_a-Si-(X_2)_4-a, shows excellent catalytic activity and polymerization reactivity, and is useful for preparing a conjugated diene polymer having high linearity and excellent processability. The present invention also relates to a conjugated diene polymer prepared by using the catalyst composition. In chemical formula 1, a, X_1 and X_2 are the same as defined in the specification.
