A damping valve includes a valve disc (2), a ring-shaped leaf valve (Ve, Vp), and a biasing mechanism. The valve disc (2) includes a passage (3, 4) and a valve seat (2c, 2d). The valve seat (2c, 2d) surrounds an exit end of the passage (3, 4). The leaf valve (Ve, Vp) is stacked on the valve disc (2). The leaf valve (Ve, Vp) separates from and is seated on the valve seat (2c, 2d) to open and close the passage (3, 4). The biasing mechanism causes a variable biasing force to act on the leaf valve (Ve, Vp) to the valve disc (2) side. The entire leaf valve (Ve, Vp) is configured to axially retreat with respect to the valve disc (2). A clearance is formed between the leaf valve (Ve, Vp) and the valve seat (2c, 2d) in a state in which the leaf valve (Ve, Vp) is stacked on the valve disc (2) with no load.
